They fear being the person who got it wrong."},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">After years building something from scratch \u2014 the clients, the team, the reputation \u2014 the idea of selling raises three fears that keep founders up at night.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1. &#8220;I&#8217;m going to leave money on the table.&#8221;<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This one&#8217;s about preparation, not luck.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Buyers pay premiums for clean, predictable businesses. If your financials are a mess, your revenue is concentrated in two clients, or you can&#8217;t clearly articulate what drives growth \u2014 you will get discounted. Hard.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The fix: treat your business like a buyer is evaluating it 12 months before you ever want to sell. Clean EBITDA, diversified revenue, documented processes. The work you do now is what closes the <a href=\"\/blog\/2025\/09\/30\/post-4-how-agencies-are-valued\/\">valuation<\/a> gap later.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2. &#8220;I&#8217;m going to lose control of something I built.&#8221;<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This fear is real \u2014 and it&#8217;s worth sitting with.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But here&#8217;s what most sellers don&#8217;t realize: control doesn&#8217;t disappear at close. It gets negotiated before close. Your post-close role, your decision-making authority, your team&#8217;s protections \u2014 all of it lives in the term sheet, not in a handshake.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The fix: Sellers who feel blindsided post-close almost always skipped this conversation in diligence. Don&#8217;t skip it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3. &#8220;The buyer is going to screw me over.&#8221;<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sometimes this is a bad buyer. More often, it&#8217;s a good buyer and a bad process.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Misaligned expectations, vague <a href=\"\/blog\/2025\/11\/19\/post-10-of-254-earnouts-explained\/\">earnout<\/a> structures, loose reps &amp; warranties \u2014 these are the things that turn a good deal into a bad experience. The antidote isn&#8217;t suspicion. It&#8217;s structure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The fix: Work with an advisor who has seen enough deals to know where the traps are. Understand every clause before you sign anything.
